1. Scope and parties

These Terms and Conditions of Sale govern every quotation, order acknowledgement and sale of goods by Shenzhen Layjun Technology Co., Ltd. (深圳市雷军科技有限公司), Shenzhen, People's Republic of China ("Seller", "we"), to any buyer ("Buyer", "you") anywhere in the world.

They apply to the exclusion of any terms you may propose. Where we have signed a separate written supply agreement or a distributor agreement, that document prevails over these terms to the extent of any conflict. Nothing on this website is an offer capable of acceptance; it is an invitation to treat.

2. Quotations and acceptance

A quotation is valid for 30 days from its date unless it states otherwise, and is subject to stock, raw-material availability and reconfirmation of freight at the time of order.

A contract is formed only when we issue a written order acknowledgement (Proforma Invoice), or when we begin production against your purchase order, whichever happens first. Any specification, drawing or sample you approve is incorporated into the contract by reference.

3. Prices and currency

Prices are quoted in US dollars unless the quotation states another currency. Where we offer EUR, GBP, AED, BRL, MXN or JPY, the rate is indicative and the invoiced amount is fixed at the exchange rate stated on the order acknowledgement.

Prices are exclusive of any import duty, value-added tax, goods and services tax or similar charge in the destination country, unless the quotation expressly states DDP terms. Prices may be adjusted before acceptance if steel, copper or freight rates move by more than five per cent between quotation and order.

Currency conversion shown on this website is for guidance only and does not form part of any contract.

4. Payment terms

  • New customers: 30 % deposit with the order, 70 % before shipment (T/T in advance of dispatch).
  • Repeat and established customers: NET 30 or NET 45 may be offered at our discretion, subject to credit review.
  • Documentary credit: irrevocable L/C at sight, issued by a bank acceptable to us and confirmed at our option.
  • Small orders and spares: PayPal, or payment by card through a provider's secure checkout.

Bank charges outside China are for the Buyer's account. If payment is overdue we may suspend production and shipments, and charge interest at 1.5 % per month or the maximum permitted by applicable law, whichever is lower.

5. Delivery and Incoterms

All deliveries are governed by Incoterms 2020. We quote EXW, FOB Shenzhen, CIF, CFR, DAP and DDP. Unless the quotation names a different term, the default is FOB Shenzhen.

Lead times stated in a quotation or on this website are estimates given in good faith, measured in working days from receipt of deposit and approval of any drawing. They are not guaranteed delivery dates and time is not of the essence unless we agree so in writing.

Where the Buyer must supply a shipping instruction, import licence or customs documentation, delays caused by the Buyer extend our lead time accordingly and may incur storage charges.

6. Title and risk

Risk of loss or damage passes to the Buyer in accordance with the applicable Incoterm. Title to the goods passes only on receipt of payment in full, notwithstanding delivery or the passing of risk.

7. Inspection and claims

Please inspect the shipment on arrival. Any claim for shortage, visible damage or incorrect goods must be notified to us in writing within 7 days of receipt, with photographs of the crate, the machine and the shipping marks. Concealed defects must be notified within 30 days of receipt.

If a claim is made in time and we accept it, we will repair, replace or credit the goods at our option. Freight for warranty returns is handled as set out in the warranty section below. Failure to notify within these periods means the goods are deemed accepted.

8. Warranty

We warrant that the goods will conform to the agreed specification and will be free from defects in material and workmanship for twelve (12) months from the date of shipment.

The warranty covers the power supply, capacitor bank, control board, wiring harness and mechanical assemblies. Every machine ships with an individual test and calibration record.

The warranty does not cover:

  • consumables — electrode carbons, gas fittings, seals, fuses and leads;
  • damage from misuse, accident, transport after risk has passed, or operation outside the rated voltage and duty cycle;
  • repairs or modifications carried out by anyone not authorised by us;
  • use with non-approved argon supply, tooling or spare parts;
  • normal wear, cosmetic marking, or software and parameter changes you request.

For valid claims we supply replacement parts free of charge. Return freight to our facility is at the Buyer's cost; we pay the freight for the repaired or replacement part back to the Buyer. On-site labour and travel are not included unless separately agreed.

9. Spare parts

We commit to holding spare capacitor banks, control boards, electrodes and gas fittings for a minimum of seven (7) years after the last production run of each model. Distributor partners may hold a consignment stock under a separate agreement.

10. Limitation of liability

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or in connection with the contract is limited to the invoice value of the goods giving rise to the claim.

We are not liable for indirect, incidental, special or consequential loss, including loss of profit, loss of production, loss of contracts, downtime, or damage to property or materials being processed, however caused.

Nothing in these terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by our negligence, or for fraud.

11. Export control and sanctions

The goods are industrial welding equipment. The Buyer confirms that it is not subject to trade sanctions or embargoes that would prohibit the transaction, is not acting on behalf of a sanctioned party, and will not re-export the goods in breach of applicable export-control law. We may decline or cancel an order where necessary to comply with our own legal obligations; in that case any payment received is refunded in full.

12. Intellectual property

All drawings, manuals, software, parameter recipes and technical documentation we supply remain our property. The Buyer receives a non-exclusive, non-transferable licence to use them to operate and maintain the goods. They may not be copied, reverse engineered or disclosed to a third party without our written consent. The Layjun Welder name and logo are our trade marks.

13. Confidentiality

Each party keeps confidential the other's commercial and technical information disclosed in connection with the contract, and uses it only for the purposes of the contract. This obligation survives termination for three years. It does not apply to information that is public, was already known, or must be disclosed to a court or regulator.

14. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including act of God, epidemic, war, civil unrest, government action, port closure, customs blockage, carrier failure, or interruption to power, gas, internet or component supply. The affected party must notify the other promptly. If the event continues for more than 90 days either party may cancel the affected portion of the contract, and we refund any payment for goods not yet produced or shipped.

15. Governing law and disputes

These terms and any contract formed under them are governed by the laws of the People's Republic of China, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG).

Disputes that cannot be resolved by good-faith negotiation within 30 days are referred to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Shenzhen, in English, before one arbitrator. The award is final and enforceable under the New York Convention. Either party may still seek interim relief in a competent court.

16. General

If any provision is held unenforceable, the remainder stays in force. A failure to enforce a right is not a waiver of it. The Buyer may not assign the contract without our written consent. These terms, the order acknowledgement and any signed agreement are the entire agreement between us and supersede prior discussions. The English text prevails over any translation.
